Terms of Service

These Terms of Service ("Terms") govern your access to and use of Execution Copilot (the "Service"). By using the Service, you agree to these Terms.

1) Eligibility

You must be able to form a legally binding contract in your jurisdiction to use the Service.

2) Accounts and access

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account

You agree not to access the Service through unauthorized means or interfere with normal operation.

3) Your content

You retain ownership of the content you submit to the Service (your "User Content"). You grant Execution Copilot a limited license to host, store, process, and display your User Content solely to provide and improve the Service.

4) Acceptable use

You agree not to:

  • Reverse engineer, scrape, or abuse the Service
  • Attempt to bypass security or access data that isn't yours
  • Use the Service to violate laws or infringe rights
  • Upload malware or disrupt availability

We may suspend or terminate accounts that violate these Terms.

5) Plans, billing, and cancellation

Execution Copilot offers paid subscription plans. By subscribing, you agree to the following:

  • Pricing, plan features, and renewal terms are displayed at the time of purchase
  • Subscriptions renew automatically at the end of each billing period unless cancelled
  • Taxes may apply depending on your location
  • If a trial converts to paid, you authorize charges according to the displayed terms

Cancellation and Refunds:

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that period ends. No refunds are issued for partial billing periods. If you cancel, you will not be charged for subsequent periods.

If billing is handled by a third-party payment processor (e.g., Stripe), their terms may also apply.

6) Intellectual property

The Service, including design, code, and branding, is owned by Execution Copilot and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service except as allowed by these Terms.

Execution Copilot™ is a trademark of Execution Copilot (common law trademark). All other trademarks belong to their respective owners.

7) Third-party services

The Service may rely on third-party providers (e.g., hosting, authentication, database, AI providers). We are not responsible for third-party services outside our control.

8) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." We do not guarantee uninterrupted service, error-free operation, or specific outcomes from using the Service.

Execution Copilot provides a structure and planning system. It is not legal, financial, medical, or professional advice.

9) Limitation of liability

To the maximum extent permitted by law, Execution Copilot will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill.

Our total liability for any claim related to the Service will not exceed the amount you paid to use the Service in the 3 months before the event giving rise to the claim (or $50 if you paid nothing).

10) Indemnification

You agree to indemnify and hold harmless Execution Copilot from claims arising out of your misuse of the Service, violation of these Terms, or infringement of third-party rights.

11) Termination

You may stop using the Service or cancel your subscription at any time (see Section 5 for cancellation details). We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or other users. If we terminate your account for reasons other than a Terms violation, we will provide a pro-rated refund for any unused portion of your current billing period.

12) Changes to the Service or Terms

We may update the Service and these Terms. Continued use after changes become effective means you accept the updated Terms.

13) Governing law

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles.
